Welcome to Raya Workforce. By engaging with our website, services, or staffing solutions, you agree to the following Terms and Conditions. These terms govern the relationship between Raya Workforce LLC (“we,” “our,” “us”) and our clients, candidates, and website visitors.
1. Definitions
- “Raya Workforce” refers to Raya Workforce LLC, its affiliates, and subsidiaries.
- “Client” means any business or organization that engages Raya Workforce for staffing services.
- “Candidate” means any job seeker or worker introduced to a client by Raya Workforce.
- “Services” means all recruitment, staffing, and workforce management solutions provided by Raya Workforce.
2. Scope of Services
Raya Workforce provides comprehensive staffing solutions, including but not limited to:
- Temporary Staffing
- Permanent Staffing
- Temp-to-Hire (Contract-to-Hire)
- Direct Placement (Direct Hire)
- Contract Staffing
- Executive Search
- Project-Based Staffing
- Outsourced Staffing
We reserve the right to modify or discontinue services at our discretion.
3. Candidate Terms
- By submitting a resume or profile, candidates consent to Raya Workforce processing and sharing their information with potential employers.
- Raya Workforce does not guarantee job placement.
- Candidates must provide truthful and accurate information.
- Clients may request background checks or testing in compliance with applicable law.
4. Client Terms
- Clients agree to pay fees as outlined in written agreements, proposals, or contracts with Raya Workforce.
- Clients may not bypass Raya Workforce by directly hiring a candidate presented by us within the agreed “protection period” (typically 12 months) without written consent.
- Once hired, candidates become the client’s employees or contractors, and the client assumes all employer-related responsibilities (compliance, wages, benefits, safety).
5. Fees and Payment Terms
5.1 Invoicing
- Raya Workforce invoices clients based on agreed service terms (e.g., percentage of annual salary for permanent placement, hourly rates for temporary staff).
- Invoices are due within 30 days from the invoice date, unless otherwise specified in writing.
5.2 Late Payments
- Payments not received by the due date will accrue interest at 1.5% per month (18% annually) or the maximum rate allowed by law, whichever is lower.
- If payment is more than 15 days late, Raya Workforce reserves the right to pause or terminate staffing services, including removal of assigned personnel, until outstanding balances are cleared.
- If payment is more than 45 days late, Raya Workforce reserves the right to:
- Engage a collections agency or pursue legal action at the client’s expense.
- Recover all reasonable collection costs, attorney’s fees, and court costs.
5.3 Disputed Invoices
- Clients must notify Raya Workforce in writing within 7 business days of receipt of an invoice if they dispute any charges.
- Undisputed amounts must still be paid by the due date.
5.4 Non-Payment Consequences
- Continued non-payment may result in termination of the client agreement.
- Raya Workforce retains ownership of all candidate relationships and reserves the right to reassign talent to other clients.
6. Limitation of Liability
- Raya Workforce is not liable for indirect or consequential damages arising from services.
- We do not guarantee the performance of candidates once employed by a client.
- Clients acknowledge employment is a separate agreement between them and the candidate.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information, candidate data, and business records.
8. Intellectual Property
All website content, branding, and intellectual property are owned by Raya Workforce and may not be reproduced without written consent.
9. Termination
- Clients may terminate agreements with notice, subject to specific contract terms.
- Raya Workforce may suspend or terminate services for non-payment, breach of terms, or misuse of candidates.
10. Governing Law
These terms are governed by the laws of the United States and Canada, depending on service delivery location.
11. Amendments
We may update these Terms periodically. Continued use of our services after changes are posted constitutes acceptance.
